The following terms of use ("terms of use"), together with the privacy policy available at www.adzyou.net, which may be subject to periodic changes, establish the legally binding terms and conditions and govern the use of the app to which these terms of use are attached. Please read these terms of use carefully before using the app. By giving consent, registering, accessing or using the app, or downloading materials through the app, the user agrees to abide by the following terms of use. The user is required to stay updated on any changes by regularly visiting the legal section in the app or on the website.
In accordance with these terms of use, the user may download the version of the App published by the Company from a public app store, install it on their device, use the App, and view the related Content. This type of access is non-exclusive and personal, meaning it may not be transferred to third parties. The Company authorizes the user to view and download the content made accessible through the App ('Content') solely for the use agreed upon by the Company with the User. This authorization does not constitute a transfer of ownership of the Content or copies thereof and is subject to the following limitations: 1) the user must retain, on all copies of the downloaded Content, all copyright notices and other proprietary notices included in the Content; 2) the user may not modify the Content in any way or reproduce, publicly display, perform, distribute, use, or communicate the Content for any public or commercial purpose; and 3) the user may not transfer the Content to others unless they are informed of, and accept, the obligations arising from these Terms of Use. The user agrees to abide by all limitations displayed on the App, which may be updated from time to time. This App, including all Content, is protected worldwide by intellectual property rights, copyright laws, and treaty provisions. The user agrees to comply with all global copyright laws when using the App and to avoid any unauthorized copies of the Content. Except as expressly stated herein, the Company does not grant the user any express or implied rights under patents, designs, trademarks, copyrights, or trade secret laws.
In accordance with these Terms of Use, the Company may provide services under these Terms of Use or other terms (if specifically provided), as broadly described in the App, and which are selected for the user's exclusive use.
Different router models and devices may have firmware or settings incompatible with the App. The Company commercially commits to continuously develop the App to support mobile devices commonly used in the markets where the App is distributed; however, the Company does not guarantee compatibility of the App with all mobile devices or other hardware. For clarity, the user is responsible for any costs or expenses incurred due to downloading and using the App, including network operator and roaming charges. Please refer to your service provider for more details.
You may be required to create an account to access certain parts of the App that are restricted. In such cases, you must complete the registration process by providing accurate and complete information, as stated in the applicable registration form. You will also be required to choose a password. You are fully responsible for maintaining the confidentiality of your password and account. You are also entirely responsible for all activities that occur under your account. You agree to notify the Company immediately of any unauthorized use of your account or any breach of security. The Company will not be liable for any loss that you may incur as a result of someone else using your password or account.
The user represents and warrants that they will use the App in compliance with these Terms of Use, including the Privacy Policy, applicable laws, and existing and future policies and rules on the App. The user agrees not to use the App to: (a) send spam or unsolicited communications; (b) impersonate the Company or others; (c) create headers or otherwise manipulate identifiers to disguise the origin of any content transmitted via the App; (d) misrepresent their affiliation with a person or entity; (e) act in a manner that negatively affects other users' ability to use the App; (f) engage in activities that violate applicable laws; (g) post or transmit materials that violate or infringe the rights of others or materials that are illegal, abusive, defamatory, vulgar, or otherwise inappropriate, or that contain advertisements or persistent solicitations regarding products or services; (h) collect or store personal data about other users unless specifically authorized by those users, or (i) fail to comply with the withdrawal of authorization as described in (h). If the user does not agree to abide by the above, they may not use the App. The Company reserves all legal rights in relation to such noncompliance. If these Terms of Use are violated, the user is responsible for indemnifying the Company and its affiliates for damages caused by their actions.
The Company reserves the right, at its sole discretion, to modify, add or remove any part of these Terms of Use, in whole or in part, at any time. Changes to these Terms of Use will become effective when the notice of such changes is posted on the App. Continued use of the App by the user after any changes to the Terms of Use will be considered an implicit acceptance of those changes. The Company may interrupt, modify, or correct errors or omissions in any part of the App, make other changes to the App, the Content, and to the products, programs, services or prices (where present) described in the App, suspend or terminate any feature of the App, including the availability of any part of the App, at any time without notice. The Company may also impose limits on certain features and services or restrict the user's access to parts or all of the App without notice or liability. The Company has no obligation to monitor the App or content submitted through the App. However, the Company reserves the right to (i) remove, suspend, or modify any content at its sole discretion and at any time, including, without limitation, user content, without obligation to notify and for any reason (including but not limited to complaints or accusations from third parties or authorities regarding the use of such user content) and (ii) remove, suspend or block user content from the App. The Company also reserves the right to access, read, preserve, and disclose any information (but not personal information) submitted or made available through the App as it reasonably believes necessary to (i) comply with laws, regulations, legal processes or government requests, (ii) enforce these Terms of Use, including investigating potential violations, (iii) detect, prevent, or otherwise address fraud, security or technical issues, (iv) respond to user support requests, or (v) protect the rights, property, or safety of the Company, its users, and the public.
The user acknowledges that all intellectual property rights (including, but not limited to, copyrights, patents, know-how, confidential information, database rights, and rights in trademarks and designs, whether registered or unregistered) in the App are owned by the Company or its licensors.
The Company is committed to helping the user implement necessary measures to protect their privacy and personal information. Users are encouraged to read our Privacy Policy to understand what type of information we collect from the App and the measures we take to protect it. Users should not send confidential or proprietary information to the Company via the App. Users agree that any information or materials (including ideas, concepts, or know-how) provided to the Company by them or on their behalf shall not be considered confidential or proprietary. By providing such materials or information, users grant the Company and its affiliates a worldwide, non-exclusive, royalty-free, fully paid, perpetual and irrevocable license to (a) use, reproduce, modify, alter, display, prepare derivative works, publicly communicate and distribute such information or materials and otherwise fully exploit them in connection with the App and the Company’s business (and its successors and assigns), including, without limitation, for promoting and redistributing the App, in whole or in part (and derivative works thereof) or services in any format and through any channel (including, without limitation, third-party websites and feeds), in accordance with these Terms of Use and the Privacy Policy; (b) allow third parties to assist the Company in carrying out the aforementioned activities; and (c) sublicense the foregoing rights to any third party. Users also grant each App and/or related service user a non-exclusive license to access their shared content via the App, and to use, reproduce, modify, alter, display and prepare derivative works from it, communicate it to the public, and distribute such content. For clarity, the grant of rights herein does not affect any other ownership or license rights in such information or materials unless otherwise agreed in writing with the Company. The Company reserves the right to track user activity and geolocate the user, possibly reporting such activity anonymously to third-party analytics providers.
The user may not: (a) use any device or software capable of interfering with the functioning of the App; (b) take any action that imposes an unreasonable or disproportionately large load on the App’s infrastructure (e.g., mass emailing - “spam”); or (c) interfere with or modify the App's software or functionality. This includes submitting material to the App that contains viruses, Trojan horses, time bombs, or other elements that could damage or interfere with the App’s programming. The user agrees not to interrupt or attempt to interrupt the operation of the App in any way.
The App may send push notifications to users as part of its normal operation. Users may disable push notifications in the application settings.
The App may display advertisements and promotions from the Company and its affiliates or third parties. Users can disable advertising in the settings. However, if the App is ad-supported and the user prefers not to receive ads, it may be necessary to uninstall the App.
To the extent that the App includes third-party software, the terms accompanying such software apply in addition to these Terms of Use, and such third parties will benefit from these terms.
While efforts have been made to ensure the accuracy of the information provided in the App, the content may contain inaccuracies, typographical errors, and other defects. The Company does not guarantee the accuracy or completeness of the Content or the reliability of any advice, opinions, statements or other information displayed or distributed through the App. The user acknowledges that reliance on such opinions, advice, statements, memoranda or operations is at their own risk. All content is provided 'as is' and 'as available.' The Company expressly disclaims all representations or warranties of any kind, whether express or implied, including – without limitation – warranties of merchantability or fitness for a particular purpose, non-infringement, or regarding the operation of the App or its Content. The Company does not guarantee or make any representations regarding the security of the App. The user acknowledges that any information sent may be intercepted.
The Company and its beneficiaries shall not be liable under any circumstances for any loss, damage, or injury of any kind, including direct, indirect, consequential, punitive, special or incidental damages (including, without limitation, damages for economic loss, contract, income, data, interruption of information or business interruption) arising out of or related to the use or inability to use this App or its content, or in relation to these Terms of Use, even if the Company or its beneficiaries have been advised of the possibility of such damages.
All references to 'written,' 'notices,' and similar expressions refer to electronic communication methods (e.g., email), provided that the party relying on the communication retains acceptable proof that the communication was sent; the communication shall be deemed received unless clear indications of non-receipt have been received.
To the extent permitted by applicable consumer rights laws, the use of this App and these Terms of Use are governed by Italian law, without regard to its conflict of law principles.
The User and the Company acknowledge that Apple Inc., Google Inc., and their subsidiaries are third-party beneficiaries of these Terms of Use. Accordingly, the User and the Company agree that they have no obligation to (a) provide maintenance and support services regarding the App, (b) handle any claims by the User or third parties relating to the App or the possession and/or use of the App by the user, or (c) compensate the user for third-party claims or liabilities related to the App’s functionality.
